Arbitration Procedures

Arbitration will take place in Bayside, New York, before a single arbitrator, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), unless applicable law requires otherwise.

The parties will attempt to select a qualified arbitrator within 10 calendar days after an arbitration demand is served.

The arbitrator must have at least five years of relevant experience and knowledge of the subject matter of the dispute.

If the parties cannot agree on an arbitrator, either party may request that the AAA appoint one.

Applicable Law

The arbitration agreement will be interpreted and enforced in accordance with the Federal Arbitration Act, where applicable.

The arbitrator will apply the substantive laws of the federal judicial circuit in which Revomadic's principal place of business is located, without regard to conflicting choice-of-law principles.

Arbitration Costs and Remedies

Each party will initially be responsible for its applicable share of arbitration and administrative fees, subject to the arbitrator's authority and applicable legal requirements.

The arbitrator may award attorneys' fees only where authorized by applicable law or contract.

To the extent permitted by law, the arbitrator will not have authority to award punitive damages.

Individual Arbitration

Disputes subject to this arbitration provision must be pursued on an individual basis.

Class arbitration and representative arbitration proceedings are not permitted to the extent enforceable under applicable law.

Where permitted by law, arbitration proceedings and outcomes will remain confidential except as necessary to exercise or protect legal rights.

If a dispute proceeds in court rather than arbitration, the parties waive the right to a jury trial to the extent permitted by applicable law.

The arbitration provisions will survive termination of participation in the SMS/MMS Messaging Program.

If any part of this arbitration provision is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permitted.

15. Additional Messaging Program Terms

By participating in our Messaging Program, you confirm that you have the legal authority to accept its terms and that your participation does not violate any other applicable contractual obligations.

Our failure to enforce any provision at a particular time does not constitute a waiver of our right to enforce it in the future.

If any provision is determined to be invalid or unenforceable, that provision will be limited to the extent necessary, and the remaining provisions will continue in effect.
